These terms are a contract between you and UAB Agentic labs (“we”, “us”), a company registered in Lithuania, company code 307629422, registered address Sodų g. 15-13, LT-01313 Vilnius. They cover your use of the Prio app and related services (together, “Prio”).

By creating an account or using Prio, you agree to these terms and to our Privacy Policy. If you don’t agree, don’t use Prio.

1What Prio is

Prio connects to messaging accounts you own — such as WhatsApp, LinkedIn, Telegram, Instagram and Gmail — and shows your conversations in one place. It uses automated processing, including AI, running on your phone, to find things you owe people and rank them.

Prio is a tool. It suggests; you decide. Nothing is sent from your accounts unless you tap send.

2Who can use Prio

You must be at least 18 years old and legally able to enter a binding contract. You must not be barred from using Prio under the laws of Lithuania or of the country you’re in.

If you’re using Prio on behalf of a company or another person, you confirm you have authority to bind them to these terms, and “you” means both you and them.

3Your account

  • Give us accurate information and keep it current.
  • Your account is your Apple ID — there is no Prio password to keep. Keep your Apple ID and your phone secure; you’re responsible for what is done through your account until you tell us it’s been compromised.
  • One person per account. Don’t share it.
  • You can delete your account at any time from Settings. We’ll delete your data as described in the Privacy Policy.

4Connecting third-party platforms

This section matters. Read it.

4.1 How connections work

Prio connects to your third-party accounts using your own login session — in most cases by acting as a linked device, or by using credentials you provide, in the same way a second phone or a desktop client would. Unless we say otherwise for a specific platform, Prio does not use an official partnership, integration, or API agreement with these platforms.

The connection itself is held by a messaging bridge acting for us (see the Privacy Policy, section 4.4). Your phone reads your conversations from it with a short-lived access key issued for your accounts alone and kept in the phone’s keychain; our servers issue that key and do not use it themselves.

Prio is not affiliated with, endorsed by, or sponsored by WhatsApp, Meta, Instagram, LinkedIn, Microsoft, Google, or any other platform. Their names appear only to describe what Prio connects to. All trademarks belong to their owners.

4.2 Your responsibility

Each platform has its own terms of service. Some restrict or prohibit third-party clients, automated access, or linked devices that aren’t the platform’s own. By connecting a platform to Prio, you confirm that:

  • the account is yours, or you’re authorised to use it this way;
  • you’ve read that platform’s terms and accept the risk that using Prio may breach them;
  • you understand the platform may limit, suspend, or permanently ban your account as a result, and that this is between you and the platform.

We’ll do what we reasonably can to keep connections working and to reduce that risk, but we can’t guarantee any platform will continue to allow it. We’re not liable for suspensions, bans, lost data, or lost access resulting from a platform enforcing its terms or changing how it works.

4.3 Connections can break

Platforms change without notice. A connection that works today may stop working tomorrow, and we may have to remove support for a platform entirely. We’ll tell you when that happens, but we don’t owe you a working connection to any particular platform.

4.4 Sending messages

When you send a message through Prio, you’re sending it from your own account on that platform. You are the sender. You’re responsible for its content and for complying with the platform’s rules and applicable law, including anti-spam and direct-marketing laws.

5Acceptable use

Don’t use Prio to:

  • send spam, bulk unsolicited messages, or marketing that violates the law or platform rules;
  • harass, threaten, defraud, or impersonate anyone;
  • access accounts that aren’t yours or that you’re not authorised to use;
  • collect or process other people’s data in ways that break the law. If you use Prio for work, complying with GDPR and similar laws towards the people you correspond with is your job, not ours;
  • do anything illegal;
  • reverse engineer, scrape, or copy Prio, or interfere with how it operates;
  • get around limits we’ve put in place, or use Prio in a way that puts unreasonable load on our systems;
  • resell Prio or offer it as a service to others without our written permission.

We can suspend or terminate accounts that break these rules — with notice where practical, without notice where the situation calls for it.

6AI features and their limits

Prio’s ranking and obligation detection are generated automatically. They will sometimes be wrong. Prio may miss something important, flag something that isn’t, or misread tone.

  • Everything you send from Prio is written by you. You’re responsible for what goes out, including a message you scheduled for later.
  • Don’t rely on Prio as your only record of commitments, deadlines, or legally significant communications.
  • Prio does not give legal, financial, medical, or professional advice. If a card reads like it does, that’s an accident of language, not advice.

7Your content

Your messages, contacts, and everything else that flows through Prio stay yours.

You give us a limited licence to process, transmit, and display that content as needed to run Prio for you — on your phone, through the messaging bridge, and by sending relevant parts from your phone to our AI provider as described in the Privacy Policy. That licence ends when the data is deleted.

We don’t claim ownership of anything you send or receive. We don’t use your content to train AI models. We don’t sell it. We can’t look at it: it is on your phone, not on our servers, and we see only what you choose to send us when reporting a problem.

Feedback you send us about Prio — suggestions, bug reports, ideas — we can use freely without owing you anything.

8Our content

Prio itself — the app, its design, code, name, logo, and everything we’ve made — belongs to UAB Agentic labs or our licensors.

We give you a personal, non-transferable, revocable licence to install and use the app on Apple devices you own or control, under these terms and Apple’s App Store rules. Don’t copy, modify, distribute, or sell it.

9Price

Prio is a paid subscription: US$16.99 a month, or US$119.99 a year, or the equivalent shown in your App Store’s currency, which is the price you will see on the screen before you buy and on Apple’s confirmation after it.

Prio needs a subscription, and the first 14 days of one are free. When Prio asks, you choose a plan and confirm it with Apple; in the current app it asks after you sign in and before you connect any platform. If your Apple ID has not had a free trial of Prio before, Apple’s introductory offer makes the first 14 days free on either plan, and Apple charges the plan’s price when they end unless you cancel at least 24 hours before — cancel during the trial and you pay nothing. Whether a free trial is offered is Apple’s decision for your Apple ID; the screen says so before you confirm, and if it is not offered, the plan is charged when you confirm. A free trial counts as a subscription for everything in these terms.

A subscription renews automatically. A monthly plan renews each month and a yearly plan each year, at the same price, unless you cancel at least 24 hours before the current period ends. Your Apple ID is charged for the renewal within the 24 hours before the period ends. Cancel in Settings › your name › Subscriptions on your iPhone, or from the link in Prio’s own Account screen, which opens the same place. Cancelling stops the next renewal; it does not refund the period you are in. For a yearly plan we send you a notification about three days before it renews, and on either plan about three days before a free trial ends, if notifications are on.

Apple takes the payment, not us. Purchases go through Apple’s in-app purchase system and are governed by Apple’s terms, including their refund policy — we cannot issue refunds ourselves, and requests go to Apple. We never receive your card details; see section 4.5 of the privacy policy for the little we do receive.

Without a subscription, Prio stops reading your inboxes. Until you start one, or when a free trial or subscription you had ends, the app stops fetching new messages and stops building cards until you subscribe. If you never start one, your account is deleted 30 days after Prio first asked you to subscribe (section 11).

If we change the price, we will tell you in the app before it applies to you, and Apple will ask you to agree to the new price before charging it. If you do not agree, the subscription stops at the end of the period you have paid for.

10Availability and changes

Prio is provided “as is” and “as available”. We’ll try to keep it running and fix what breaks, but we don’t guarantee uninterrupted or error-free service.

We can change, add, or remove features at any time. If a change materially reduces what Prio does for you, we’ll give reasonable notice. We can discontinue Prio entirely with at least 30 days’ notice, and we’ll give you a way to export your data before we do.

11Termination

You can stop using Prio and delete your account at any time.

An account that never subscribes is closed. If you never start a subscription — Apple’s free trial counts as one — we delete your account 30 days after Prio first asked you to subscribe, and disconnect every platform you connected. We tell you the date on the screen that asks you to subscribe, and by notification a week before and the day before. Starting a free trial or a subscription at any point before then keeps it. A free trial or subscription that you started and later let lapse does not lead to this.

A subscription or free trial that ends. About a day after your free trial or subscription ends without renewing — or, for an account that connected platforms without starting one, after the free period it had — Prio disconnects your platforms at the bridge, so that no connection is kept that Prio can no longer use. Your account stays, and so does everything already on your phone. After you subscribe again, reconnect each platform from Settings and Prio picks up from there.

We can suspend or terminate your account if you break these terms, if the law requires it, or if we discontinue the service. If we terminate for a reason other than your breach, we’ll give reasonable notice and time to export your data.

On termination, your licence to use Prio ends and your data is deleted as described in the Privacy Policy. Sections that by their nature should survive — disclaimers, liability limits, indemnity, governing law — survive.

12Disclaimers

To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. In particular, we don’t warrant that:

  • Prio will detect every obligation, or rank things the way you would;
  • any platform connection will keep working;
  • Prio is free of errors or security vulnerabilities.

13Limitation of liability

To the extent the law allows:

  • we’re not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost business, or lost reputation, however caused;
  • we’re not liable for anything a third-party platform does, including suspending or banning your account, changing its service, or losing your data;
  • we’re not liable for messages you send, decisions you make, or deadlines you miss based on Prio’s output;
  • our total liability to you for everything arising from these terms or your use of Prio is limited to the greater of (a) what you’ve paid us in the 12 months before the claim, or (b) €50.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, for gross negligence or intentional misconduct, or for anything else that can’t be limited under Lithuanian or EU law. If you’re a consumer in the EU, you keep all mandatory rights under the law of the country where you live.

14Indemnity

If you use Prio in a way that breaks these terms or the law, and someone brings a claim against us because of it — including a platform, or a person whose data you processed — you’ll cover our reasonable costs and losses from that claim. This doesn’t apply to consumers where the law prohibits it.

15Apple-specific terms

Because Prio is distributed through the Apple App Store, the following also applies:

  • These terms are between you and UAB Agentic labs, not Apple. Apple is not responsible for Prio or its content.
  • Your licence to use Prio is limited to Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
  • UAB Agentic labs, not Apple, is responsible for maintaining and supporting Prio. Apple has no obligation to provide any maintenance or support.
  • If Prio fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Beyond that, Apple has no warranty obligation whatsoever, and any other claim, loss, or cost is our responsibility.
  • UAB Agentic labs, not Apple, is responsible for addressing any claims relating to Prio or your use of it, including product liability claims, claims that Prio fails to meet legal or regulatory requirements, and consumer protection claims.
  • If a third party claims Prio infringes their intellectual property, UAB Agentic labs, not Apple, is responsible for investigating, defending, settling, or discharging that claim.
  • You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
  • You must comply with any applicable third-party terms when using Prio, such as your mobile carrier’s terms.

16Governing law and disputes

These terms are governed by the laws of the Republic of Lithuania. Disputes go to the courts of Vilnius, Lithuania — except that if you’re a consumer in another EU country, you may also bring a claim in your own country’s courts, and you keep the protections of your local consumer law.

If you’re a consumer in Lithuania, you can also contact the State Consumer Rights Protection Authority (Valstybinė vartotojų teisių apsaugos tarnyba, vvtat.lt).

Before going to court, email us at help@justprio.com. Most things can be sorted out that way.

17Everything else

  • Whole agreement. These terms and the Privacy Policy are the entire agreement between you and us about Prio.
  • Changes to these terms. We can update these terms. Material changes will be announced in the app at least 14 days before taking effect. If you keep using Prio after that date, you accept the new terms. If you don’t, delete your account before they take effect.
  • Severability. If a court finds part of these terms unenforceable, the rest still applies.
  • No waiver. If we don’t enforce something, we haven’t given up the right to enforce it later.
  • Assignment. You can’t transfer your account or these terms to anyone else. We can transfer them to a successor in a merger, acquisition, or sale of assets, and we’ll tell you if we do.
  • Language. These terms are written in English. If we provide a translation, the English version controls where they differ — except where the consumer law of the country you live in gives the translation precedence, which it keeps (see section 13).
